Chairman and Chief Executive Officer

William S. McKiernan

By any definition, Bill McKiernan is an online commerce pioneer. He founded CyberSource in 1994. It quickly became one of the world's first organizations to build a website equipped with the now-familiar "buy" button - but that was hardly the company's only innovation. CyberSource originated the concept of the Internet commerce suite, which allows companies to outsource eCommerce transaction services on an as-needed basis, obviating their need to build and maintain costly and complex commerce infrastructures.

Prior to founding CyberSource, Mr. McKiernan was president and COO of McAfee, Inc. He held this position during the company's initial public offering. Before joining McAfee, Mr. McKiernan was vice president of Princeton Venture Research, Inc., and held management positions at ROLM/IBM. Mr. McKiernan holds a B.S. from Boston College and an M.B.A. from the Harvard Business School. He is on the board of the Multiple Myeloma Research Foundation and is West Coast Chairman of the Boston College Technology Council.

Executive Management

Roy Banks
President, Authorize.Net

Roy Banks is responsible for the overall management and operations of Authorize.Net, a CyberSource solution. He joined Authorize.Net in July 1999 as vice president of business development, and was later promoted to general manager. Since 1999, he has been instrumental in the overall revenue growth and increased profitability of the Authorize.Net business.

Prior to joining Authorize.Net, Mr. Banks held a number of engineering and marketing positions with WordPerfect, which was subsequently acquired by Novell and then Corel. Earlier in his career, he held leadership positions with Modus Media International and Power Quest, where he was director of market development. Prior to these positions, he served in the Department of the Navy where he served as a data processing technician specializing in logistics.

Mr. Banks holds a bachelor of science degree in marketing from Utah Valley State College. He also serves as member of the board of directors of the Electronic Transaction Association.

George Barby
Vice President, Worldwide Operations

Mr. Barby leads the worldwide operations of CyberSource. He directs and oversees global information technology operations and technical services.

Mr. Barby came to CyberSource with many years of experience in running complex data centers, networks, and payment applications. He has served as vice president of network and telecommunications at First Data Corporation and vice president of global telecommunications and network engineering at Visa. Prior to Visa, he managed Wells Fargo's network engineering. Immediately prior to joining CyberSource, Mr. Barby was vice president, network engineering and telecommunications at Safeway, Inc.

John Bodine
Vice President, Sales and Marketing, Authorize.Net

John Bodine is responsible for the sales and marketing functions of Authorize.Net, a CyberSource solution. He originally joined Authorize.Net as a member of the board of directors in 1998 when the company was still called NetSolutions. After a year on the board, Mr. Bodine was hired as the ninth employee in late 1998, serving as Director of Business Development, where he formed the strategic relationship with Go2Net, which acquired Authorize.Net in 2000. From 2000 to 2002, he worked for Ellis, Inc. where he acted as SVP of International Sales and Marketing.

Mr. Bodine rejoined Authorize.Net in October, 2002 and has focused his efforts on growing and maintaining one of the largest indirect sales channels in the payments industry. He also managed the design and implementation of Authorize.Net's Associate Reseller channel which provides sales support for integration partners. Recently, Mr. Bodine has worked to establish a successful direct sales channel within Authorize.Net. He also oversees the branding, communication and promotional plans for the company's marketing efforts. He has held similar positions for Novell, WordPerfect and Baan.

Mr. Bodine holds a bachelor of science degree in Marketing from Brigham Young University.

Carolyn Brackett
Vice President, Channels & Alliances

Ms. Brackett is responsible for the development and execution of CyberSource's long term channel and referral partner strategies.

Prior to joining CyberSource, she spent nine years at First Data Corporation and its subsidiaries. She held a variety of senior positions at FDC, including senior vice president, business development and strategy and, vice president, internet commerce. Immediately prior to joining CyberSource, Ms. Brackett was vice president, marketing and strategic alliances at Exante Financial Services, a division of UnitedHealth Group. Earlier in her career, Ms. Brackett was an industry manager and senior product marketing manager at VeriFone.

She is a cum laude graduate of Canisius College, with a bachelor's degree in business finance and marketing.

Neil Buckley
Vice President, Product Development and General Manager, Bellevue

Neil Buckley directs the engineering and quality assurance activities for all CyberSource products, including global electronic payment, order screening and reporting. He joined the company (through Authorize.Net) in June, 2005. Mr. Buckley is also general manager for the Bellevue office.

Prior to joining CyberSource, Mr. Buckley was vice president of development at Vallent Corporation, (formerly WatchMark), in Bellevue, WA, where he led global development, quality assurance, and engineering teams in both domestic and international offices. He was instrumental in growing Vallent from startup to leading vendor of performance management products for wireless operators with 90% share of the US Market. Prior to Vallent, Mr. Buckley worked in London, Tokyo and Paris for a number of organizations including Alcatel, Lehman Brothers, ITT, US West and Credit Suisse-First Boston.

Mr. Buckley holds a masters degree in computer science from Manchester University, Manchester, England. He also graduated with a bachelor of science in physics from the Royal College of Science, Imperial College, University of London.

Scott Cruickshank
President and Chief Operating Officer

Mr. Cruickshank oversees CyberSource's global sales, marketing and customer support functions.

Mr. Cruickshank came to CyberSource from Portland, Oregon-based Qsent where he served as president and chief operating officer. Prior to Qsent, he was chief marketing officer at Paymentech, where he led the company's sales, customer care, marketing and service operations functions. Before Paymentech, Mr. Cruickshank was senior vice president of First Data Merchant Services and managing partner of Bank One payment Services. Earlier in his career, he held positions at MasterCard International, MCI Telecommuncations, Checkfree Corporation and First National Bank of Omaha.

Mr. Cruickshank holds a bachelor's degree in business administration from the University of Nebraska, Kearny.

Perry Dembner
Vice President, Marketing

Mr. Dembner leads CyberSource's marketing team - directing strategy and program execution across solutions marketing, industry marketing, corporate communications, demand generation and market intelligence.

Mr. Dembner has 20 years of technology marketing experience in enterprise software, telecommunications and Internet services. He previously served as Vice President, Marketing for Applicast, driving the company from initial launch to a position as one of the leading enterprise application service providers. He was also Vice President, Marketing and Business Development for Honeycomb Software, an early developer of Web content management tools. Mr. Dembner has also served as a senior consultant to a number of fast-growing technology companies - building business plans and marketing programs for clients such as Atempo, @Home, ILOG, Optimal Networks and Wayfarer. Early in his career he held product management, product marketing and corporate strategy positions with Farallon Computing, ROLM/IBM and Strategic Planning Associates (now Mercer Management Consulting).

Mr. Dembner holds a B.S. in Economics from the University of Pennsylvania's Wharton School and an M.B.A. from Stanford's Graduate School of Business. He serves on the Board of Directors of the Merchant Risk Council.

Robert Ford
CTO and Executive Vice President, Product Development

Mr. Ford is responsible for the development of CyberSource's products and services, as well as leading the design of the CyberSource future systems architecture.

Prior to joining CyberSource, Mr. Ford led the research, development and quality assurance efforts for Extensity's suite of Java-based e-business applications. Mr. Ford has also served as Vice President of Engineering for Intrinsa, which introduced the industry's first software defect-detection solution using component simulation. Prior to Intrinsa, Mr. Ford was Vice President of Engineering for Objectivity, where he was also responsible for professional services and customer support. He was also Vice President of Engineering and Vice President of Advanced Technology at Boole & Babbage. Mr. Ford started his career with IBM South Africa where he held various software and hardware engineering positions.

Kirsten Fry-Sanchez
Vice President, Product Management

Ms. Fry-Sanchez oversees product planning and product management activities for all CyberSource solutions.

Prior to CyberSource, Ms. Fry-Sanchez was vice president of global online services for First Data Corporation's Western Union web business. In that capacity, she managed the company's strategic direction, international expansion and new product initiatives. She also worked closely with the BidPay subsidiary of First Data that was ultimately acquired by CyberSource. Prior to these roles, she served as vice president for eCommerce and marketing at First Data. Before her tenure at First Data, Fry-Sanchez had a ten year career at Royal Caribbean Cruises where, among other duties, she oversaw the industry's first automated distribution system for trade partners and played a key role in the organization's initial entry into eCommerce.

She holds a bachelor's degree in liberal arts and environmental studies from Florida International University.

David A. Glaser
Vice President, Professional Services

With over 15 years of technology and payment industry experience, Mr. Glaser leads the CyberSource Professional Services organization, which provides consulting, design, integration, and optimization services to businesses and organizations worldwide. He is a leading authority on eCommerce payment, reconciliation, security and fraud management process design and implementation.

Mr. Glaser joined CyberSource in April, 2000. He was named Manager of consulting project management in 2001. In 2003 he was promoted to director of professional services. On January 6, 2006, he was named vice president, worldwide professional services.

Prior to CyberSource, Mr. Glaser held key consulting positions with professional service organizations including IBM Global Services, EDS, and Compaq. He holds a bachelor's degree in mathematics from Indiana University of Pennsylvania.

David J. Kim
Vice President and General Counsel

Mr. Kim oversees all legal affairs of CyberSource, including licensing, regulatory compliance, litigation management, and corporate governance. Since joining the company in 1998, he played key roles in the company's public offerings, acquisitions, as well as the joint venture that formed CyberSource Japan.

Before CyberSource, Mr. Kim worked in the legal department at Maxim Integrated Products. Prior to Maxim, he held the position of Information Technology Manager at a defense litigation firm in San Francisco, where he managed the technology infrastructure, coordinated implementation of document imaging systems, and co-authored an article on electronic discovery, which was published by the Defense Research Institute. Mr. Kim also served an externship as a Special Assistant District Attorney in the office of the District Attorney of New York County. He received his bachelor's degree from the University of California at Berkeley and his Juris Doctor degree from the Cardozo School of Law, Yeshiva University.

Trish Martin
Vice President, Customer Support

As Vice President of Customer Support for CyberSource, Patricia Martin is responsible for managing CyberSource's worldwide customer support operations. Prior to January 2001, Ms. Martin served as Senior Director of Information Technology for CyberSource. With over 15 years of customer service and IT management experience, Ms. Martin possesses a deep understanding of what it takes to deliver world-class customer support, including keen technical expertise and a passion to meet customer needs. This understanding and passion underscores her dedication to building a support organization that provides top-notch, unparalleled customer service.

Before joining CyberSource, Ms. Martin was the Senior Manager of Business Applications at Acuson Corporation. Ms. Martin also held various management positions during her career at Silicon Graphics, Inc. from 1987 to 1997.

Ms. Martin holds a Bachelor of Science degree in Information Technology from Santa Clara University.

Michael Orlando
Vice President, Strategic Markets

In 2007, Mr. Orlando was asked to lead the strategic markets group which is responsible for direct sales, account management and business development to enterprise target accounts. He has over 20 years of experience in technology sales. Mr. Orlando has been at CyberSource since the year 2000, serving initially as a principal in the company's Professional Services Group selling deployment and integration of the company's products and then as a regional sales manager. In 2005, he was named director, strategic markets.

Prior to CyberSource, he served as district sales manager for PaylinX Corporation, a company that was purchased by CyberSource in 2000. He worked in a variety of sales positions in the years prior, including AVT Corporation, Comdial Corporation, Nitsuko America, and Inter-Tel.

Mr. Orlando has a Bachelor of Science degree in management from California Coast University.

Greg Pappas
Vice President, Human Resources

Greg Pappas is responsible for driving organizational capability initiatives and aligning human resource requirements to support CyberSource's business strategies and growth plans.

Prior to joining CyberSource, Mr. Pappas was vice president of human resources with Packeteer, a WAN optimization company that was acquired by Blue Coat Systems. Prior to Packeteer, he was vice president of human resources with Extended Systems, a mobility software company that streamlines business processes through mobile technology. He has also served as vice president of human resources and administration with Inference/E-Gain Corporation and held leadership positions at Chordiant Software and Apple Computer.

Steven D. Pellizzer
Senior Vice President of Finance and Chief Financial Officer

Mr. Pellizzer joined CyberSource in February, 1999. He has held positions of increasing responsibility since then, culminating in his January, 2003 appointment to the position of Chief Financial Officer. In his current role, Mr. Pellizzer directs the company's corporate accounting, financial planning, reporting, investor relations, and stock administration. He had significant responsibilities during the company's initial public offering in 1999 and in the secondary offering later that year.

Before joining CyberSource, Mr. Pellizzer held a variety of positions, including that of Audit Manager, with PricewaterhouseCoopers from 1991 to 1999. Mr. Pellizzer is a Certified Public Accountant and has a Bachelor of Science degree in Accounting from Santa Clara University.

Kyle Pexton
Vice President, Financial Planning and Analysis

Kyle Pexton is responsible for the financial planning and analysis for CyberSource. He re-joined Authorize.Net in August 2005 after serving for two years as the Chief Financial Officer for The Sundance Group. While working for the Sundance Group, he was responsible for all financial and accounting functions for over 25 business entities across multiple industries. From 1999 to 2000, Mr. Pexton served as controller, and from 2000 to 2003, he served as vice president of finance for Authorize.Net. During that time, he was responsible for all accounting and financial aspects of the Authorize.Net business. Additionally, he oversaw the financial reporting for InfoSpace's merchant business segment, comprised of multiple business units.

Mr. Pexton currently serves on the Board of Directors and as Chairman of the Audit Committee for Sundance Enterprises, Inc. He also serves on the AICPA's Life Insurance Committee, which oversees a self-funded insurance trust of over $130 billion. He holds bachelors and masters degrees in accounting from Brigham Young University and is a Certified Public Accountant.

Michael Walsh
Senior Vice President, Worldwide Sales

Mr. Walsh oversees all of CyberSource sales and professional services activities worldwide. He has over 15 years of technology and financial services experience, eight of those years in positions of increasing responsibility at CyberSource. Mr. Walsh joined this company in 1998. He was named manager, North American sales in 2000. In 2001, he was promoted to the position of director of sales. On December 15, 2004, he was named vice president, worldwide sales.

Prior to CyberSource, Mr. Walsh held various sales and business development positions at Oracle Corporation and Merrill Lynch. He holds a bachelor's degree in political science from The University of California at Irvine.
